DRONE FOOTAGE LICENSING AGREEMENT
By proceeding with the purchase, the Licensee acknowledges they have read, understood, and agree to be bound by these terms.
Effective Date: 2025/2026 - Date of Purchase - 1 year
Licensor: Audrey Klemp / AudreyinFocus
Licensee: Purchaser of the footage
Credit Requirement
The Licensee is required to credit "AudreyinFocus" in all uses of the Footage unless explicitly waived in writing by the Licensor.
On social media, credit must be given by tagging @audreyinfocus in the post.
The required written credit is: "Footage captured by Audreyinfocus.com" for web
Parties Involved
The Licensee is the individual or entity purchasing the footage.
The Licensor is the owner of the footage and retains all rights not expressly granted in this agreement.
Grant of License
The Licensor grants the Licensee a non-exclusive, non-transferable, worldwide license to use the Footage for commercial or personal projects.
The license is valid for one year from the Effective Date.
After one year, the Licensee must cease all use of the Footage unless they obtain a renewal license.
The Licensee has the option to renew the license upon request, subject to updated terms set by the Licensor.
Permitted Uses
The Licensee may:
Incorporate, reproduce, display, distribute, and modify the Footage within derivative works.
Use the Footage in commercial or personal projects, including films, advertisements, online content, and presentations.
Share derivative works where the Footage is combined with other elements, as long as the Footage itself is not extractable.
Prohibited Uses
The Licensee may NOT:
Resell, sublicense, or redistribute the original, unaltered Footage.
Modify the Footage in minor ways (e.g., cropping, color correction) and then resell or sublicense it as a new product.
Use the Footage in defamatory, obscene, or unlawful ways.
Claim ownership or authorship of the Footage.
Intellectual Property Rights
The Licensor retains all rights, title, and interest in the Footage.
No ownership of the Footage is transferred to the Licensee.
Model/Property Releases
The Licensor does not guarantee that model or property releases have been obtained.
The Licensee is solely responsible for securing any necessary releases before using the Footage for commercial purposes.
The Licensor is not liable for any claims resulting from missing releases.
Liability & Indemnification
The Licensor is not liable for any damages arising from the Licensee’s use of the Footage.
The Licensee agrees to indemnify and hold harmless the Licensor against any claims, demands, losses, or damages, including legal fees, resulting from their use of the Footage.
Termination & Compliance
This Agreement automatically expires one year from the Effective Date.
It may terminate sooner if the Licensee violates any terms.
If terminated, the Licensee must immediately cease all use of the Footage and provide written confirmation of deletion upon request.
Refunds
Due to the digital nature of the product, no refunds will be given after purchase.
If technical issues prevent access to the Footage, the Licensee must notify the Licensor for resolution.
Governing Law & Dispute Resolution
This Agreement is governed by the laws of Arizona, USA, without regard to conflict of law principles.
If selling internationally, disputes may be resolved via binding arbitration to avoid jurisdictional conflicts.
Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements.
